Welcome to Guildbase. These Terms of Service ("Terms") govern your access to and use of the Guildbase platform, website, and services (collectively, the "Service") operated by Hydra Labs ("Company", "we", "us", or "our").
By accessing or using Guildbase, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
For the purposes of these Terms:
You must be at least 13 years of age to use the Service. By using Guildbase, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
Users in the European Union must be at least 16 years old, or the minimum age required in their country for data processing consent, whichever is higher.
To access certain features of the Service, you must create an account. You may register using a third-party authentication provider (such as Discord, Steam, or Google) or by providing an email address and password. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for any activities or actions under your account. You agree to notify us immediately of any unauthorised access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
When you link third-party accounts (such as Discord, Steam, Google, or other supported platforms) to your Guildbase account, you authorise us to access certain information from those accounts in accordance with the permissions you grant. You are responsible for managing these connections and may unlink accounts at any time through your account settings.
Guildbase is a community management platform that enables users to create and manage guilds, process applications, coordinate teams, and build workflows for their communities. The Service includes, but is not limited to:
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also add new features or impose limits on certain features or restrict access to parts or all of the Service.
Guildbase offers both free and paid subscription plans. Free accounts have access to core features with certain limitations. Paid subscriptions ("Guildbase Pro") unlock additional features, increased limits, and premium functionality as described on our pricing page.
Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). Payment is processed through Stripe, our third-party payment processor. By subscribing, you agree to Stripe's terms of service and authorise us to charge your designated payment method.
All prices are displayed in British Pounds (GBP) unless otherwise stated. Prices are exclusive of any applicable taxes, which may be added at checkout based on your location. We reserve the right to change subscription prices at any time, with notice provided to existing subscribers before any price change takes effect on their next billing cycle.
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. We do not provide refunds for partial billing periods, except where required by applicable law.
For users in the European Union, you have the right to withdraw from a subscription within 14 days of purchase without giving any reason, provided you have not used the Service during this period. To exercise this right, you must inform us of your decision by a clear statement.
If a payment fails, we will attempt to charge your payment method again. If payment cannot be processed after multiple attempts, your subscription may be suspended or downgraded to the free plan. You remain responsible for any uncollected amounts.
You retain ownership of all Content you submit, post, or display on or through the Service. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and display such Content solely for the purpose of operating and providing the Service.
You are solely responsible for all Content you upload, submit, or transmit through the Service. You represent and warrant that you have all necessary rights to submit such Content and that it does not violate any third-party rights or applicable laws.
We reserve the right, but not the obligation, to review, remove, or disable access to any Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We are not responsible for any failure or delay in removing such Content.
You agree not to use the Service to:
When you create a guild, you become its owner and are responsible for its management and the actions of its members. Guild owners may invite team members, assign roles, and delegate administrative responsibilities.
Guild owners may invite team members by email or through linked accounts. By inviting someone to your guild, you represent that you have the authority to do so. Team members must accept these Terms to access the guild.
Guilds may collect information from applicants through application forms. Guild owners are responsible for ensuring that their collection and use of applicant data complies with applicable privacy laws, including obtaining any necessary consents.
The Service integrates with various third-party platforms and services, including but not limited to Discord, Steam, and Google. Your use of these integrations is subject to the respective terms and policies of those third parties.
We are not responsible for the availability, accuracy, or content of any third-party services. We do not endorse and are not liable for any third-party services or their practices. Your interactions with third-party services are solely between you and the third party.
The Service and its original content, features, and functionality (excluding User Content) are and will remain the exclusive property of Hydra Labs. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.
If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such feedback without any obligation to you.
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We comply with applicable data protection laws, including the UK Data Protection Act 2018, the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other relevant privacy legislation. For users subject to GDPR, we act as a data processor when processing personal data on behalf of guild owners.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We do not warrant any results from the use of the Service or the accuracy, reliability, or completeness of any information obtained through the Service.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HYDRA LABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
You agree to defend, indemnify, and hold harmless Hydra Labs and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service.
You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service will immediately cease.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. We may also terminate or suspend accounts that have been inactive for an extended period.
Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability. We are not obligated to retain or provide you with copies of your Content after termination.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable law requires otherwise.
For users in the European Union: Nothing in these Terms affects your rights as a consumer under mandatory EU consumer protection laws, and you may bring proceedings in the courts of your country of residence.
For users in the United States: Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Hydra Labs regarding the Service.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
